Changelly Bonus Points Program Terms and Conditions

These Terms and Conditions (“Program Terms”) govern the Changelly Bonus Points Program (“Program”). The Program is operated by Changelly (“Changelly”, “We”, “Us”). These Program Terms supplement the Changelly Terms of Use (“General Terms”), available at https://changelly.com/terms-of-use. In the event of any conflict between these Program Terms and the General Terms, these Program Terms shall prevail with respect to matters relating to the Program.

By participating in the Program, you (“User”, “you”) confirm that you have read, understood, and accepted these Program Terms in their entirety.

1. Definitions

1.1. “Points” means bonus points credited to a User’s Changelly Account under this Program. Points are a non-monetary digital record maintained by Changelly and do not constitute money, currency, property, credit, or any form of stored value.

1.2 “Points Balance” means the total number of unexpired Points credited to a User’s Changelly Account at any given time.

1.3 “Qualifying Transaction” means a completed crypto-to-crypto exchange transaction initiated by the User through the Changelly web platform (changelly.com), excluding transactions in which Points were spent.

1.4 “Platform Fee” means the fee charged by Changelly for facilitating the routing of an Exchange, as described in the General Terms.

2. Eligibility

2.1 The Program is available to Users who:

(a) hold a registered Changelly Account;

(b) have completed identity verification (KYC) if and as required by Changelly;

(c) access the Services through the Changelly web platform (changelly.com);

(d) are not located in, under the control of, or a national or resident of: (i) any Restricted Location as defined in the General Terms; or (ii) any jurisdiction where participation in this Program would violate applicable laws or regulations.

2.2 Changelly reserves the right to restrict or deny participation in the Program to any User or in any jurisdiction at its sole discretion, without prior notice.

2.3 The Program applies exclusively to crypto-to-crypto exchange transactions. Fiat-to-crypto, crypto-to-fiat, and decentralized exchange (ChangellyDEX) transactions are not eligible.

3. Earning Points

3.1 Earning Rate. For each Qualifying Transaction, the User earns Points equal to 0.02% of the transaction amount, calculated in US Dollar equivalent based on the value of the output crypto asset at the time of transaction completion. The resulting Points amount is rounded down to the nearest whole number. Fractional Points are not credited.

3.2 Conversion Rate. One hundred (100) Points equals one US Dollar ($1.00) in value for the purpose of spending Points to offset Platform Fees (see Section 5).

3.3 Crediting. Points are credited to the User’s Points Balance only after the Qualifying Transaction has been completed. A transaction is considered completed when the output crypto assets have been sent to the User’s designated wallet address.

3.4 Earn or Spend. For any single transaction, the User may either earn Points or spend Points, but not both. If the User elects to spend Points on a transaction (see Section 5), that transaction does not earn any Points.

4. Points Balance and Expiry

4.1 Display. The User’s current Points Balance is displayed within the Changelly web platform interface.

4.2 Expiry. Points expire thirty (30) days after they were credited. Expiry is calculated on a calendar-day basis: Points credited on any given day expire at 00:00 UTC on the 31st day following the date of crediting.

Example: Points credited on April 1 (at any time) expire at 00:00 UTC on May 1.

4.3 First In, First Out. When Points are spent, the oldest Points in the User’s balance are consumed first (FIFO).

4.4 Expiry Notification. Changelly will make reasonable efforts to notify Users approximately three (3) days before Points are due to expire. However, failure to provide such notification does not extend the expiry period or create any liability for Changelly.

4.5 No Monetary Value. Points have no cash value and cannot be exchanged for cash, crypto assets, or any other form of consideration. Points cannot be transferred, sold, assigned, or otherwise conveyed to any other User or third party. Points are not redeemable outside the Program.

4.6 No Property Interest. Points do not constitute the User’s property. Changelly retains full control over the issuance, adjustment, and expiry of Points. Accumulated Points do not create any vested right, entitlement, or legitimate expectation of future value.

5. Spending Points

5.1 Fee Offset. Users may spend Points to offset the Platform Fee on a crypto-to-crypto exchange transaction initiated through the Changelly web platform. When Points are spent, the Platform Fee for the transaction is reduced to zero.

5.2 All-or-Nothing. Points may only be spent to fully offset the Platform Fee. Partial spending of Points to reduce (but not eliminate) the Platform Fee is not available. If the User’s Points Balance is insufficient to fully offset the Platform Fee for a transaction, Points cannot be spent on that transaction.

5.3 Maximum Spend. Changelly may impose a maximum number of Points that may be spent per transaction. The current maximum, if any, is displayed within the Program interface. Changelly may adjust this limit at any time.

5.4 No Restrictions on Transaction Amount. There is no minimum or maximum transaction amount required to spend Points.

5.5 Rate Fluctuations. For transactions with floating exchange rates, the number of Points to be spent is determined at the time of transaction initiation based on the Platform Fee applicable at that time. If the Platform Fee changes between initiation and execution, the Points deduction remains as initially determined.

5.6 Fee Reduction Priority. The Program operates alongside other fee reduction mechanisms available on the Platform, including VIP status benefits, promotional codes, and referral programs. Where a User qualifies for multiple fee reduction mechanisms simultaneously:

(a) VIP status benefits and promotional codes take precedence. The User continues to earn Points but may not redeem them on that transaction.

(b) Referral program discounts (including but not limited to BestChange, Tonkeeper, and Cointelegraph partnerships) take precedence. The User continues to earn Points but may not redeem them on that transaction.

For the avoidance of doubt, Points are earned on all Qualifying Transactions regardless of which fee reduction mechanism applies.

6. Transaction Reversals and Clawback

6.1 Reversed Transactions. If a Qualifying Transaction that earned Points is subsequently reversed, refunded, cancelled, or otherwise voided for any reason, Changelly will deduct the corresponding Points from the User’s Points Balance. If the Points have already expired at the time of reversal, the deduction will apply to the User’s then-current Points Balance and may result in a negative balance.

6.2 Points Already Spent. If Points earned from a reversed transaction have already been spent, Changelly reserves the right to:

(a) deduct an equivalent number of Points from the User’s current Points Balance;

(b) if the User’s current Points Balance is insufficient, carry a negative Points balance until offset by future earnings; or

(c) treat the situation as a violation of these Program Terms and take action under Section 7.

6.3 Changelly’s determination of whether a transaction has been reversed shall be final and binding.

7. Prohibited Conduct and Anti-Abuse

7.1 The following conduct is prohibited and constitutes a violation of these Program Terms:

(a) Creating or using multiple Changelly Accounts to earn or spend Points;

(b) Executing transactions with no genuine economic purpose solely to earn Points, including but not limited to wash trading, round-trip transactions, or transactions between accounts controlled by the same person or related persons;

(c) Using automated tools, bots, scripts, or other automated means to earn, accumulate, or spend Points;

(d) Colluding with other Users to artificially inflate Points balances;

(e) Attempting to exploit a technical error, bug, or vulnerability in the Program to earn Points, prevent Point expiry, or spend Points in a manner not intended by Changelly;

(f) Manipulating or attempting to manipulate transaction amounts, timing, or parameters to maximize Points earnings in a manner that Changelly, in its sole discretion, determines to be abusive;

(g) Circumventing or attempting to circumvent any eligibility restrictions, spending limits, or other Program controls;

(h) Any other conduct that Changelly, in its sole discretion, determines to be abusive, fraudulent, or inconsistent with the purpose of the Program.

7.2 Consequences. If Changelly determines, in its sole discretion, that a User has engaged in prohibited conduct, Changelly may, without prior notice:

(a) void, revoke, or claw back any Points earned through prohibited conduct;

(b) reverse any fee offsets obtained through prohibited conduct and charge the User the applicable Platform Fees;

(c) suspend or permanently disqualify the User from the Program;

(d) suspend or terminate the User’s Changelly Account in accordance with the General Terms;

(e) take any other action Changelly deems appropriate to protect the integrity of the Program.

7.3 Changelly’s determination of prohibited conduct shall be final and binding. Users who are disqualified from the Program forfeit all accumulated Points without compensation.

8. Account Events

8.1 Account Suspension. If a User’s Changelly Account is suspended, the User’s participation in the Program is suspended for the duration. Points continue to expire during the suspension period.

8.2 Account Termination. If a User’s Changelly Account is terminated for any reason, all accumulated Points are immediately forfeited without compensation. Points cannot be reinstated following account termination.

9. Program Modification and Termination

9.1 Changelly may modify any aspect of the Program at any time, including but not limited to the earning rate, conversion rate, expiry period, spending limits, eligible transaction types, and eligible jurisdictions. Changes will be communicated by updating these Program Terms and posting a notice on the Changelly web platform.

9.2 Changelly may suspend or terminate the Program at any time, with or without notice. In the event of Program termination:

(a) Changelly will make reasonable efforts to provide advance notice of at least 7 days;

(b) During the wind-down period, Users may spend their remaining Points in accordance with these Program Terms;

(c) Upon termination, all unspent Points are forfeited without compensation;

(d) Changelly shall not be liable for any losses, damages, or claims arising from Program modification, suspension, or termination.

9.3 Continued participation in the Program after any modification constitutes acceptance of the modified Program Terms.

10. Limitation of Liability

10.1 THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CHANGELLY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 CHANGELLY’S TOTAL LIABILITY IN CONNECTION WITH THE PROGRAM SHALL NOT EXCEED THE US DOLLAR EQUIVALENT OF THE POINTS IN THE USER’S BALANCE AT THE TIME OF THE CLAIM, CALCULATED AT THE CONVERSION RATE SET FORTH IN SECTION 3.2.

10.3 IN NO EVENT SHALL CHANGELLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF POINTS, LOSS OF ANTICIPATED BENEFITS, OR LOSS OF DATA.

10.4 Changelly shall not be liable for any failure or delay in crediting Points, processing fee offsets, or delivering notifications resulting from technical issues, system maintenance, force majeure events, or circumstances beyond Changelly’s reasonable control.

11. Data Processing

11.1 In connection with the Program, Changelly processes transaction data, Points balance data, and related account information. Such processing is governed by the Changelly Privacy Policy, available at https://changelly.com/privacy-policy.

11.2 Changelly may use transaction data and Points activity data for fraud detection, anti-abuse monitoring, and Program analytics purposes.

12. General

12.1 These Program Terms are governed by the laws applicable under the General Terms.

12.2 Any dispute arising from or relating to these Program Terms shall be resolved in accordance with the dispute resolution provisions of the General Terms.

12.3 If any provision of these Program Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Changelly’s failure to enforce any right or provision of these Program Terms shall not constitute a waiver of such right or provision.

12.5 These Program Terms, together with the General Terms, constitute the entire agreement between the User and Changelly with respect to the Program.
