These Terms and Conditions (“Promo Terms“) govern the Changelly “Earn up to 200 USDT” referral promotion (the “Promo“). The Promo is operated by Changelly.com (“Changelly“, “We“, “Us“). These Promo Terms supplement the Changelly Terms of Use (“General Terms“), available at https://changelly.com/terms-of-use. In the event of any conflict between these Promo Terms and the General Terms, these Promo Terms shall prevail with respect to matters relating to the Promo.
By participating in the Promo, you (“User“, “you“) confirm that you have read, understood, and accepted these Promo Terms in their entirety.
1. Definitions
1.1 “Promo Period” means the period from 00:00 UTC on 11 May 2026 to 23:59 UTC on 20 May 2026 (10 calendar days).
1.2 “Referrer” means a User who, during the Promo Period, holds a registered Changelly Account and shares their unique referral link with another person.
1.3 “Invitee” means a person who (i) registers a new Changelly Account during the Promo Period using a Referrer’s referral link, (ii) was not previously a Changelly user, and (iii) satisfies the eligibility criteria in Section 2.
1.4 “Qualifying Transaction” means a completed crypto-to-crypto (c2c) or fiat-to-crypto (f2c) exchange transaction initiated by the Invitee through the Changelly web platform (changelly.com) or Changelly mobile applications, with a value of at least one hundred US Dollars ($100) or equivalent, calculated by reference to the value of the output crypto asset at the time of transaction completion. Crypto-to-fiat (sell) transactions and any other transactions are not Qualifying Transactions.
1.5 “Reward” means a payout of a randomly determined amount between ten (10) and two hundred (200) USDT, paid to a User in accordance with Section 4.
1.6 “Successful Referral” means an Invitee who has completed three (3) Qualifying Transactions.
2. Eligibility
2.1 The Promo is available to Users who:
(a) hold a registered Changelly Account;
(b) have completed identity verification (KYC) if and as required by Changelly;
(c) access the Services through the Changelly web platform (changelly.com) or the Changelly mobile applications; and
(d) are not located in, under the control of, or a national or resident of any Restricted Location as defined in the General Terms, or any jurisdiction where participation in this Promo would violate applicable laws or regulations.
2.2 To participate as an Invitee, a person must additionally:
(a) not have previously held, or currently hold, a Changelly Account (under the same or any other identity, email, phone number, identity document, payment method, or device);
(b) register a new Changelly Account during the Promo Period; and
(c) register through the Referrer’s unique referral link.
2.3 An Invitee who has registered may, after registration, also act as a Referrer by sharing their own referral link, subject to these Promo Terms.
2.4 Changelly reserves the right to restrict or deny participation in the Promo to any User or in any jurisdiction at its sole discretion, without prior notice.
3. Earning the Reward
3.1 Reward trigger. A Reward is earned when an Invitee becomes a Successful Referral by completing three (3) Qualifying Transactions during the Promo Period. Upon a Successful Referral:
(a) the Invitee earns one (1) Reward; and
(b) the Referrer who introduced that Invitee earns one (1) Reward.
3.2 Per-invite rewards. Rewards are earned on a per-Successful-Referral basis. There is no cap on the number of Invitees a Referrer may successfully refer during the Promo Period.
3.3 Random Reward amount. Each Reward is a randomly determined amount, expressed in USDT, between USD 10 (minimum) and USD 200 (maximum). The amount is determined by Changelly using a random selection method following the close of the Promo Period. Changelly’s determination of the Reward amount is final.
3.4 Indicative wording on Promo materials. Promotional materials referring to “Earn up to 200 USDT” or “Earn up to 200 USDT per friend” describe the maximum possible Reward per Successful Referral. The actual Reward may be any amount in the range of USD 10–200 (inclusive). No specific Reward amount is guaranteed beyond the minimum.
3.5 No conversion. Rewards are paid only in USDT. Rewards may not be exchanged for fiat currency, other crypto assets, or any other form of value through Changelly as part of the Promo, except as a User may independently elect using Changelly’s standard services after the Reward has been received.
4. Reward Payout
4.1 Timing. Rewards are paid out within ten (10) calendar days following the end of the Promo Period (i.e., by 30 May 2026).
4.2 Notice and instructions. During that ten-day period, Changelly will send a notification email to each User who has earned one or more Rewards, at the email address registered to the User’s Changelly Account. The email will contain the total Reward amount and instructions on how the User will receive the funds.
4.3 Wallet delivery. Rewards are delivered to the User’s wallet in accordance with the instructions in the notification email. The User is responsible for maintaining a valid Changelly Account, a valid registration email, and any wallet address or claim mechanism specified in the instructions. Changelly is not liable for any loss of Rewards due to incorrect, outdated, or inaccessible User contact details or wallet addresses, or due to the User’s failure to follow the claim instructions within any timeframe specified in the email.
4.4 Network fees. Standard blockchain network fees applicable to the delivery of the Reward to the User’s wallet may, at Changelly’s discretion, be deducted from the Reward amount. The notification email will indicate the net amount the User will receive.
4.5 Tax. Each User is solely responsible for determining and meeting any tax, reporting, or similar obligations arising from the receipt of a Reward in their jurisdiction. Changelly does not provide tax advice and does not act as withholding agent on behalf of any User.
5. Prohibited Conduct
5.1 The following conduct is prohibited and will result in disqualification from the Promo and forfeiture of any Rewards (whether already earned, credited, or pending):
(a) creating, controlling, or using more than one Changelly Account in order to participate as both Referrer and Invitee, or to claim multiple Invitee Rewards;
(b) using automated tools, bots, scripts, or any non-human means to register accounts, generate referrals, or execute transactions;
(c) executing transactions, including Qualifying Transactions, that lack a genuine economic purpose and are designed primarily or solely to satisfy the Promo’s qualification criteria;
(d) colluding with other Users to artificially inflate Successful Referrals;
(e) distributing referral links through spam, misleading advertising, impersonation of Changelly or any third party, or in any manner that violates the General Terms or applicable law;
(f) circumventing or attempting to circumvent any Promo eligibility criteria, geographic restrictions, or anti-abuse controls;
(g) providing false, misleading, or inaccurate information to Changelly in connection with the Promo; and
(h) any other conduct that Changelly, in its reasonable discretion, determines to be abusive, fraudulent, or contrary to the spirit of the Promo.
5.2 Suspected abusive, fraudulent, or otherwise prohibited conduct may result in suspension of the User’s Changelly Account in addition to the consequences set out in Section 6.
6. Verification, Disqualification, and Clawback
6.1 Changelly may, at any time before, during, or after the Promo Period, verify a User’s compliance with these Promo Terms, including by reviewing transaction patterns, account information, device and connection metadata, and any other information available to Changelly.
6.2 Changelly reserves the right, in its reasonable discretion, to:
(a) withhold, delay, reduce, revoke, or claw back any Reward that was earned, credited, or paid in connection with conduct that violated these Promo Terms or applicable law;
(b) disqualify a User from the Promo, in whole or in part;
(c) deduct the value of any clawed-back Reward from the User’s Changelly Account balance, including by debiting any crypto assets held in the Account up to the equivalent value;
(d) require additional information or identity verification before paying out a Reward; and
(e) suspend or terminate the User’s Changelly Account in accordance with the General Terms.
6.3 Changelly’s determination as to whether conduct violates these Promo Terms shall be final and binding.
7. Modification and Termination
7.1 Changelly may modify, suspend, or terminate the Promo, or any aspect of it (including these Promo Terms, the Promo Period, the Reward range, qualifying criteria, or eligibility), at any time, with or without prior notice.
7.2 Material changes to these Promo Terms will be posted on the Promo’s landing page or otherwise made available to Users. A User’s continued participation after the change is posted constitutes acceptance of the modified Promo Terms.
7.3 Changelly is not liable for any loss, cost, or expense arising from any modification, suspension, or termination of the Promo.
8. Disclaimers and Limitation of Liability
8.1 The Promo is provided on an “as is” and “as available” basis. Changelly makes no warranties, express or implied, regarding the Promo, the Rewards, or any aspect of participation, including warranties of availability, uninterrupted operation, or fitness for any particular purpose.
8.2 To the maximum extent permitted by applicable law, Changelly’s aggregate liability to any User in connection with the Promo shall not exceed the value of the Reward(s) that the User would have been entitled to receive but for the event giving rise to liability.
8.3 Changelly shall not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages arising out of or in connection with the Promo, regardless of the legal theory of liability.
8.4 Nothing in these Promo Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
9. Privacy
9.1 Personal data processed in connection with the Promo (including registration data, transaction data, device and connection metadata used for abuse detection, the registration email used for payout notifications, and any wallet address used for Reward delivery) is processed in accordance with the Changelly Privacy Policy, available at https://changelly.com/privacy-policy.
10. General
10.1 Governing law and disputes. These Promo Terms are governed by, and any dispute arising out of or in connection with them shall be resolved in accordance with, the governing law and dispute resolution provisions of the General Terms.
10.2 Relationship to General Terms. Participation in the Promo does not displace any of the User’s obligations under the General Terms. Any breach of the General Terms in connection with the Promo is also a breach of these Promo Terms.
10.3 No assignment. A User may not assign, transfer, or sell any right under these Promo Terms, including any Reward or referral link, to any other person. Any attempted assignment is void.
10.4 Severability. If any provision of these Promo Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
10.5 Void where prohibited. The Promo is void in any jurisdiction where it is prohibited by law.
10.6 Language. These Promo Terms are issued in English. Any translation is provided for convenience only; in case of discrepancy, the English version prevails.
